1 · Parties
This agreement is between Ctrl Deploy LLC, operating as dorse (“we,” “us”), and the brand completing checkout (“you”). It covers one pilot campaign.
2 · What you’re buying
One pilot: 5 TikTok creators (10k–100k followers), matched to the brand profile you confirmed, each committing a written pitch at their own rate. Content posts within the campaign window; attribution is wired three ways (single-use codes, Spark Ads, post-purchase survey) before anything goes live; and you receive a per-creator revenue report at ~day 30 with a double-down recommendation.
3 · Price and payment
Before payment, you see the complete lineup, each creator’s rate, any included 30-day Spark rights, and our $500 dorse fee. The default campaign cap is $1,800; we cannot exceed it unless you approve a higher cap in writing. After you approve and lock the lineup, we send a Stripe checkout for that exact total. Product, shipping, and optional media spend are separate.
4 · The guarantee
You are not charged while we build the lineup. If 5 creators have not committed to a lineup you approve within 10 days of kickoff, the poll closes and you owe nothing. After lineup lock, if an approved creator does not deliver, we provide a comparable backfill you approve or refund that creator’s undelivered slot pro rata.
5 · Your approvals
You confirm your brand profile before we pitch creators on it, and you approve the lineup before anything is filmed. We never state your goals or budget for you.
6 · Creators
Creators are independent — not our employees, not our agents. They set their own rates and their organic content remains theirs.
7 · Usage rights
The approved lineup can include Spark Ads authorization on up to 2 posts for 30 days. Any rights and their cost are shown before lineup lock; longer windows are negotiated with the creator. Ad spend is separate and stays in your own TikTok Ads Manager.
8 · FTC disclosure
Disclosure (branded-content toggle + in-video #ad) is contractually required of every creator and verified by us before any payout releases. Ultimate legal responsibility for advertising about your products remains with you; our enforcement is mechanical — no disclosure, no payout — not an indemnity.
9 · Data access
We request read access to three things only: your Shopify discount/order data (code redemptions), the Spark campaign in your TikTok Ads Manager, and the post-purchase survey responses. You can revoke all of it the day the pilot ends. We never sell or share your data.
10 · What we deliberately don’t promise
Revenue. Attribution is directional, not a guarantee and not incrementality. The ledger can show that nobody converted — that result costs the approved campaign total and is still the answer to your next campaign.
11 · No lock-in
No retainer, no exclusivity, no auto-renewal. The $750/mo winners’ continuation is a separate, optional decision you make after seeing the report.
12 · Cancellation
Cancel before approving and locking the lineup: you owe nothing. Cancel after lineup lock: creator pay already committed for work begun is owed; the dorse fee and any completed work are non-refundable, and every uncommitted creator dollar comes back to you.
13 · Liability
Our total liability under this agreement is capped at the amount you paid us. Neither side owes the other consequential damages.
14 · Disputes
Good-faith conversation first — email the founder directly. Governing law: the state of Ctrl Deploy LLC’s formation.
